Welcome to GHL Agencify. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and GHL Agencify ("we," "us," or "our"), governing your access to and use of the GHL Agencify platform operated by GHL Agencify.
By accessing, registering for, or using GHL Agencify, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our services.
1. Introduction & Acceptance
1.1 Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, form the complete agreement between you and GHL Agencify regarding your use of our services.
1.2 Acceptance
By creating an account, accessing, or using GHL Agencify in any manner, you confirm that:
- You have read and understood these Terms
- You agree to be legally bound by these Terms
- You have the authority to enter into this agreement
- If acting on behalf of an organisation, you have the authority to bind that organisation to these Terms
1.3 Electronic Agreement
Your electronic acceptance of these Terms constitutes a valid and binding agreement, equivalent to a handwritten signature.
2. Definitions
- "GHL Agencify" or "Service"
- The suite of professional GoHighLevel tools provided by GHL Agencify, including GHL Page Cloner, Funnel Guard, GOWa WhatsApp Integration, Funnel Manager, User Manager, and Ace Widget.
- "GoHighLevel" or "GHL"
- The third-party CRM and marketing automation platform operated by HighLevel Inc.
- "User" or "You"
- Any individual or entity that registers for, accesses, or uses GHL Agencify.
- "Content"
- Any data, text, images, documents, or other materials processed through the Service.
3. Service Description
3.1 What GHL Agencify Provides
GHL Agencify is a suite of professional tools designed for GoHighLevel agencies, enabling you to:
- Clone and duplicate funnels and pages across GHL accounts (GHL Page Cloner)
- Protect your funnels from being copied or extracted (Funnel Guard)
- Send and receive WhatsApp messages through GoHighLevel (GOWa)
- Manage, export, and organise funnels and websites from a central dashboard (Funnel Manager)
- Add, remove, and manage users across GHL accounts in bulk (User Manager)
- Add a WCAG-compliant accessibility widget to any website (Ace Widget)
3.2 Integration Service
Several of our tools integrate with GoHighLevel and, in the case of GOWa, with WhatsApp. We do not operate or control these third-party platforms. Your use of those platforms remains subject to their respective terms of service.
3.3 Service Limitations
Some tool functionality is dependent on the availability and features of GoHighLevel, WhatsApp, or other third-party services. Changes to those platforms may affect our capabilities. We will endeavour to adapt to such changes but cannot guarantee uninterrupted service in all circumstances.
4. Eligibility & Registration
4.1 Eligibility Requirements
To use GHL Agencify, you must:
- Be at least 18 years old
- Have an active GoHighLevel account (where applicable per tool)
- Have the legal capacity to enter into binding agreements
- Not be prohibited from using the Service under applicable laws
4.2 Registration
To access certain tools, you must create an account by providing accurate, current, and complete information. You agree to update this information as necessary.
5. Account Responsibilities
5.1 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorised access or security breach
- Ensuring your connected GoHighLevel accounts remain secure
5.2 Accurate Information
You agree to provide truthful and accurate information when registering and using the Service. Providing false or misleading information may result in account suspension or termination.
6. Subscription & Pricing
6.1 Individual Tool Pricing
Each GHL Agencify tool may have its own pricing model — including monthly subscriptions, one-time payments, or free tiers. Specific pricing for each tool is displayed on its respective product page. For GOWa (WhatsApp integration), pricing is tiered based on the number of subaccounts:

6.2 Taxes
All prices are exclusive of VAT and other applicable taxes. Applicable taxes will be added to your invoice based on your location.
6.3 Plan Changes
You may upgrade or downgrade your subscription at any time. When downgrading, you will retain access to your current tier until the end of your billing period.
7. Payment Terms
7.1 Payment Methods
Payments are processed securely through Stripe. We accept major credit cards, debit cards, and other payment methods supported by Stripe in your region.
7.2 Billing
By subscribing, you authorise us to charge your selected payment method on a recurring basis according to your chosen billing cycle. Charges will occur at the beginning of each billing period.
7.3 Failed Payments
If a payment fails, we will:
- Notify you of the failed payment
- Provide a 7-day grace period to update your payment information
- Attempt to process the payment again
If payment is not received within the grace period, your account may be suspended until payment is resolved.
7.4 Price Changes
We reserve the right to modify pricing with at least 30 days' advance notice. Continued use of the Service after price changes constitutes acceptance of the new pricing.
8. Money-Back Guarantee
7-Day Money-Back Guarantee: If you are not satisfied with your purchase for any reason, you may request a full refund within 7 days of your initial subscription purchase.
8.1 Eligibility
The money-back guarantee applies only to:
- New subscriptions (first-time purchases)
- Requests made within 7 days of the initial payment
8.2 Exclusions
The guarantee does not apply to:
- Subscription renewals
- Upgrades or additional features added after the initial 7-day period
- Accounts terminated for violation of these Terms
- One-time purchase products (e.g., Funnel Guard lifetime licence)
8.3 Refund Process
To request a refund, contact us at support@ghlagencify.com within the 7-day period. Refunds will be processed to your original payment method within 5–10 business days.
8.4 No Other Refunds
Except for the 7-day money-back guarantee, all payments are non-refundable. No refunds or credits will be provided for partial subscription periods or unused features.
9. Acceptable Use Policy
9.1 Permitted Use
You may use GHL Agencify only for lawful purposes and in accordance with these Terms and the terms of any integrated third-party platforms (including GoHighLevel and WhatsApp).
9.2 Prohibited Activities
You agree NOT to:
- Use our tools to send unsolicited bulk messages or spam
- Violate any applicable laws, regulations, or third-party rights
- Distribute malware, viruses, or harmful code
- Engage in phishing, fraud, or deceptive practices
- Impersonate any person or entity
- Interfere with or disrupt the Service or servers
- Attempt to gain unauthorised access to any systems
- Resell or redistribute the Service without authorisation
- Circumvent any access restrictions or usage limits
- Reverse engineer, decompile, or disassemble any part of our tools
9.3 Content Restrictions
You must comply with applicable platform content policies. Prohibited content includes illegal content, adult or sexually explicit material, violent or graphic content, hate speech or discrimination, misinformation, and content that infringes intellectual property rights.
10. Third-Party Services
10.1 Integration Dependencies
GHL Agencify integrates with third-party services including GoHighLevel (CRM platform), WhatsApp/Meta (for GOWa messaging), and Stripe (payment processing).
10.2 Third-Party Terms
Your use of these third-party services is subject to their respective terms and conditions. GHL Agencify is not responsible for the actions, content, or policies of these third parties. In particular, if your WhatsApp account is banned for violating Meta/WhatsApp policies, GHL Agencify has no control over WhatsApp's enforcement and cannot restore banned accounts. You remain responsible for any fees owed to GHL Agencify regardless of third-party account status.
10.3 Service Changes
Third-party services may change, limit, or discontinue features that affect our tools. We will work to maintain service continuity but cannot guarantee all features remain available if third-party services change.
11. Intellectual Property
11.1 Our Intellectual Property
All intellectual property rights in the GHL Agencify platform — including software, design, logos, trademarks, and documentation — are owned by GHL Agencify or their licensors. These Terms do not grant you any rights to use our intellectual property except as necessary to use the Service.
11.2 Your Content
You retain all rights to the content you create or process using our tools. We do not claim ownership of your funnels, customer data, or business information.
11.3 Limited Licence
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use GHL Agencify for your internal business purposes in accordance with these Terms.
11.4 Restrictions
You may not:
- Copy, modify, or create derivative works of the Service
- Reverse engineer or disassemble any part of the Service
- Remove or alter any proprietary notices
- Use our trademarks without written permission
12. Data & Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. We do not access, read, or store the content of your customer data beyond what is temporarily required for service delivery.
13. Service Availability
We strive to maintain high availability of GHL Agencify. However, as integration services, availability may depend on GoHighLevel, WhatsApp, and other third parties. We may perform scheduled maintenance with advance notice. The Service is provided "as is" and "as available" — we are not liable for downtime caused by factors beyond our reasonable control.
14. Support Services
We provide customer support via email at support@ghlagencify.com and by phone at +1 904 839 5969. We aim to respond to all support enquiries within 7 days. All subscription plans include basic support for tool-related issues, bug reporting, and free onboarding assistance.
15. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WARRANTIES OF NON-INFRINGEMENT, AND WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GHL AGENCIFY AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOSS OF PROFITS, REVENUE, OR DATA, DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE, OR DAMAGES ARISING FROM THIRD-PARTY SERVICE FAILURES. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
17. Indemnification
You agree to indemnify, defend, and hold harmless GHL Agencify and its officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from: your use of the Service, your violation of these Terms, your violation of any third-party platform terms, your violation of applicable laws, or your content or messaging practices.
18. Termination
18.1 Termination by You
You may terminate your account at any time by cancelling your subscription through your account settings or by contacting us at support@ghlagencify.com. You will retain access until the end of your current billing period unless you request immediate termination.
18.2 Effect of Termination
Upon termination:
- Your access to GHL Agencify will be revoked
- Your personal data will be deleted within 72 hours
- Any outstanding fees remain due
19. Dispute Resolution
19.1 Informal Resolution
Before initiating formal proceedings, you agree to first contact us at support@ghlagencify.com and attempt to resolve any dispute informally. We will work in good faith to resolve the matter within 30 days.
19.2 Mediation
If informal resolution is unsuccessful, both parties agree to attempt mediation in the United Kingdom before pursuing other remedies.
19.3 Time Limit
Any claim arising from these Terms must be brought within one (1) year of the date the cause of action arose, or it shall be permanently barred.
20. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Subject to the dispute resolution process above, the courts of England and Wales shall have exclusive jurisdiction over any disputes. If you are a consumer, this does not affect your statutory rights or your right to bring proceedings in your country of residence.
21. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date, posting a notice on our platform, and for significant changes, sending an email notification. Your continued use of GHL Agencify after changes become effective constitutes your acceptance.
22. General Provisions
- 22.1 Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and GHL Agencify.
- 22.2 Severability: If any provision of these Terms is found invalid, the remaining provisions shall continue in full effect.
- 22.3 Waiver: Our failure to enforce any right shall not constitute a waiver of that right.
- 22.4 Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
- 22.5 Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
- 22.6 No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
